TERMS OF SERVICE
FOR THE USE OF MeetFrank BY A COMPANY
We are MeetFrank OÜ, a company established and existing under laws of Estonia, with registry code 14314682, located at Erika 14, 10416 Tallinn (hereinafter “MeetFrank”, “we”, “us” and “our”) and we operate an online marketplace connecting Companies intending to fill their job vacancies with talented job seekers (“Talent”), whereas the connection is made through an algorithm based employment mediation platform www.meetfrank.com and www.frankhr.com (hereinafter “Website”).
The term “Company” or “you” refers to a legal entity who has accepted these Terms of Service. By accepting these Terms of Service and using MeetFrank Service, you confirm that you have carefully read and understood these Terms of Service and you agree to be bound by these Terms of Service and policies referenced herein. Acceptance of these Terms of Service shall form a legally binding agreement between the Company and us for using MeetFrank Service.
1. MeetFrank SERVICE
1.1 MeetFrank enables Companies to publish job openings for reaching Talents who may or may not be currently working and are anonymously available on the job market. Upon publishing the job opening, MeetFrank uses an algorithm which will find talents whose profile matches with the requirements established in the respective job opening.
1.2 MeetFrank standard service.
1.2.1 When using MeetFrank standard service, Company’s job opening shall be disclosed to Talents whose profile meet the requirements and criteria set in the job opening. Talents interested in the Company’s job opening can start a conversation with the Company. Talent’s profile shall be disclosed to the Company upon the Talent starting a conversation with the Company. Up until then information concerning specific Talent information will not be available to the Company. For avoidance of doubt, without the consent of the Talent (i.e. Talent starting the conversation) the Company does not have the opportunity to reveal the profile of the Talent nor find out more about the Talent that provided on MeetFrank platform.
1.2.2 If the Company wants to know more about Talents who have exposed their interest regarding the Company’s job opening, the Company may start a conversation in MeetFrank chatroom. Please be informed that MeetFrank is participating in all conversations held in MeetFrank chatroom and is collecting and processing any data exchanged by parties in the MeetFrank chatroom. It is your sole responsibility to ensure that you do not submit business secrets, know-how, confidential or other type of sensitive or valuable information via MeetFrank chatroom. MeetFrank will not disclose information received from Talents and Companies to third parties but MeetFrank shall not be under any confidentiality obligation nor bear any liability for the loss, damage or negligent transmission of your valuable information to any third party.
1.3 Talent Agent service.
1.3.1 As a part of MeetFrank standard service, the Company can use innovative Talent Agent service.
1.3.2 Talent Agent service connects immediately Talents whose Talent Agent profile meet the requirements and criteria set by the Company with the job opening. Unlike to the MeetFrank standard service, the Company has access to all suitable Talents in the Talent pool who has accepted to use Talent Agent service (excl. Talents who has hidden their profile from certain Companies).
1.3.3 Talent Agent service gives, the Company will havea full access to the profiles connected with its job opening. For the avoidance of doubt, MeetFrank is listing only Talents who have consented to be public on Website. Talents who wish to use the Website anonymously are not listed in the course of Talent Agent service.
1.4. MeetFrank standard service and Talent Agent service hereinafter together as the MeetFrank Service.
2. USING THE MeetFrank SERVICE
2.1 In order to be able to use MeetFrank Service, the Company shall create a profile containing Company’s identification information, size of the Company, place of activity and information related to the representative of the Company (e.g., name, job title).
2.2 Once the registration process has been completed, the Company will be asked to accept these Terms of Service. By doing so, the Company confirms that any registration information submitted is true, accurate and complete, and the Company consents to use the MeetFrank Service in compliance with these Terms of Service. For avoidance of doubt, the Company may use the MeetFrank Service only if these Terms of Service have been accepted. If the Company does not accept these Terms of Service, then the Company’s account registration shall be declined and the information thereof shall be deleted.
2.3 You may create the Company’s account and enter into these Terms of Service on behalf of the Company, if you represent that you have full legal authority to bind that Company. The Company must have full legal capacity in order to purchase MeetFrank Service.
2.4 MeetFrank Service can only be used by logging in to the Company’s account. You understand and agree that you are liable for maintaining confidentiality of your username and password. You shall immediately notify us if you believe the security of your account has been compromised.
2.5 You will be able to edit the Company’s profile information at any point, adding or removing any information. While using the MeetFrank Service, the Company shall provide accurate, complete, true and up-to-date information. We reserve the right to restrict Company’s ability to use MeetFrank Website, incl. any services therein, if we have reason to believe that editing of the Company’s profile is lead from unethical or unfair purpose, information concerning the Company is misleading, inappropriate or unsuitable.
2.6 We reserve the right to update, amend or replace any part of Terms of Service on the basis of objective reason. In case of update to the Terms of Service, MeetFrank will notify the Company via e-mail or by posting revised terms on our website meetfrank.com/terms. Unless the Company deletes its account within ten (10) days, the new terms will be effective immediately and apply to any continued or new use of our services.
3. REQUIREMENTS FOR JOB OPENINGS
3.1 We enable the Companies to create their own job openings which shall be posted to suitable Talents registered in MeetFrank.
3.2 The job opening created by the Company shall not contain any inaccurate, misleading or false information. Nor can the job opening contain any content which is offensive, indecent, defamatory, threatening, contain attacks on racial, ethnic or other bases, is malicious, incite physical or psychological violence, advocate illegal activities, etc.
3.3 Every job opening shall be reviewed by MeetFrank before posting it into live. MeetFrank is entitled to conduct pre-moderation of the job opening, including but not limited to making linguistic and content-based corrections to the text, created by the Company.
3.4 Under our sole discretion, we reserve the right to reject or remove any job opening posted by the Company through MeetFrank Website which does not comply with the requirements of these Terms of Service or is not appropriate for MeetFrank.
5. FEES AND PAYMENT
5.1 We provide MeetFrank Standard service in different packages which include differentiated fees. Currently available packages and related fees are available at meetfrank.com/pricing. Value added tax shall be added to the amount of the fee.
5.2 MeetFrank standard sService fees shall be paid as an advance payment.
5.3 Fee for MeetFrank Service is payable via credit card or using PayPal service. We accept the following credit cards: Visa, MasterCard.
5.4 The Company agrees to ensure at all times that when MeetFrank Service, it possess sufficient funds to cover our fee and other payments via credit card. In order to proceed with the payment process, the Company must add private information to comply with the security regulations for the payment transactions. This data will be stored so that next time you can opt to use the stored card.
5.5 All invoices regarding provided services are available and can be downloaded from your MeetFrank account.
5.6 MeetFrank reserves the right to change the fees (including establish new fees) and/or payment methods or other terms related to any payments made by the Company with respect to the use of the Website and MeetFrank Service. MeetFrank will notify the Company about the foregoing by a notification on our Website or by e-mail. The new fee will be valid and active immediately from the disclosure.
6. RATING AND REVIEWS
6.1 The Company understands and acknowledges that MeetFrank allows Talents who are formerly or currently employed as a full-time or part-time employee, contractor or freelancer by the Company to rate the Company as well as the employment conditions based on number of categories and to post a review about the Company. All reviews and ratings given to the Company are automatically visible to all Website users without prior review. The default ranking of the reviews is by date of submission.
6.2 Rating and reviewing of the Company is enabled to anonymous as well as identified Talents.
6.3 While MeetFrank has no obligation to do so, MeetFrank reserves the right to adjust or remove ratings or reviews given to the Company at its sole discretion if there is a reason to believe that the rating/review was given maliciously or MeetFrank deems, at its sole discretion, inappropriate.
6.4 If the Company finds any given rating or review malicious or unfair, the Company may contact us and request a removal of the rating/review. Once notified, MeetFrank will review the reported rating/review and consider whether to remove it (or a portion thereof). Please note: The decision whether or not to edit or remove rating/review is within its sole discretion. The Company understands and agrees that if MeetFrank choose not to remove or edit rating/review that the Company finds objectionable, that decision will not constitute a violation of these Terms or any agreement MeetFrank have with the Company.
6.5 The Company may not offer incentives to the Talents in exchange for Company ratings and reviews. MeetFrank reserves the right to remove ratings/reviews where MeetFrank has evidence that Talents were compensated to leave reviews.
6.6 The Company can ask Talents to rate or to write a review about the Company. However, the Company may not obligate its employees to leave ratings and reviews or to influence the Talents to rate or write a review by offering any kind of incentive (e.g. financial rewards or gifts).
6.7 The rating and review represent unedited opinion of the Talent. Therefore, MeetFrank assumes no responsibility, and disclaims all liability for the content, accuracy, completeness, legality, reliability, or availability of any rating or review given to the Company.
7. TERMINATION AND DELETION OF YOUR ACCOUNT
7.1 These Terms of Service shall remain in effect until terminated as set forth herein.
7.2 The Company has a right to cancel the MeetFrank Service and terminate our legal relationship at any time. Upon cancellation, the MeetFrank Service and data stored in the platform shall be available until the end of the cancellation month. You may contact MeetFrank for transmission of copy of your data by that time. Once deleted, you will not be granted your data previously stored within the MeetFrank platform.
7.3 We have the right to terminate the legal relationship with immediate effect, by deleting your account, if you (i) have provided morally inappropriate, fraudulent, misleading or inaccurate information (ii) are not eligible or authorized to use MeetFrank Service or (iii) have materially violated any requirement stipulated in these Terms of Service and have not remedied such violation (provided a remedy is possible and reasonable according to our opinion) within the term given by us; or (iv) have provided false information or requested Talent to provide false information for the purpose of hiding the hiring and avoid the payment of service fee¸(v) under any other ground expressly stated in these Terms of Service.
8. LIABILITY AND IDEMNIFICATION
8.1 MeetFrank Service and any content (incl. ratings and reviews given by the Talent to the Company), or services or features made available in conjunction with or through the Website is provided “as is” and “as available” without any warranties of any kind either express or implied. To the fullest extent permissible pursuant to applicable law, we disclaim all warranties. We do not provide any guarantees to you regarding the MeetFrank Service and/or the Website. In particular, we shall not be responsible for the following:
8.1.1 any interruption, discontinuance, suspension or other type of unavailability of the Website or MeetFrank Service;
8.1.2 any interruption or cessation of transmission to or from the Website or MeetFrank Service;
8.1.3 any bugs, viruses, Trojan horses or the like, which may be transmitted to or through the Website or MeetFrank Service;
8.1.4 deletion of, corruption of, or failure to store any content or data;
8.1.5 the incompatibility of technologies used for accessing the Website or MeetFrank Service.
8.2 MeetFrank does not mediate any employment contract nor bear liability for legal relations created by the Company and the Talent as a result of using MeetFrank Service. The terms of employment and any contractual arrangements shall be negotiated and agreed upon between the Talent and the Company directly.
8.3 MeetFrank does not warrant, represent or guarantee that the information provided by the Talent is true and accurate. Nor does MeetFrank warrant that any Talent found via MeetFrank Service is suitable for the Company.
8.4 The Company agrees to indemnify and hold MeetFrank harmless from any damage and loss that result from any violation of the Company. The Company also agrees to indemnify and hold MeetFrank harmless from any damage and loss that result from third-party claims that result from any of your violation.
9. GOVERNING LAW AND JURISDICTION
9.1 Company’s legal relationship with MeetFrank shall be governed by the laws of the Republic of Estonia.
9.2 Any disputes arising from or related to the Website and/or MeetFrank Services shall be settled in Harju County Court in the Republic of Estonia.
